Please read these Terms of Service ("Terms", "Terms of Service") carefully before using the bidia.ai website (the "Service") operated by bidia.ai ("us", "we", or "our").

Your access to and use of the Service is conditioned on your acceptance of and compliance with these Terms. These Terms apply to all visitors, users and others who access or use the Service.

By accessing or using the Service you agree to be bound by these Terms. If you disagree with any part of the terms then you may not access the Service.

1. Accounts

When you create an account with us, you must provide us information that is accurate, complete, and current at all times. Failure to do so constitutes a breach of the Terms, which may result in immediate termination of your account on our Service.

You are responsible for safeguarding the password that you use to access the Service and for any activities or actions under your password, whether your password is with our Service or a third-party service.

You agree not to disclose your password to any third party. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.

2. Bidding and Buying

When you place a bid on an item, you are entering into a legally binding contract to purchase the item if you are the winning bidder and any applicable reserve has been met. Please ensure you understand the item description, condition, and any applicable fees before bidding.

All sales are final unless otherwise stated. We do not typically offer refunds or exchanges. Any issues with purchased items must be reported to the seller directly or through our dispute resolution process if available.

Buyer's premium and other fees may apply to your purchase. These will be clearly indicated before you place a bid.

Processing Fee. A 3% payment processing fee applies to all orders and is disclosed at checkout before you pay. Orders paid by bank receive a bank payment discount off that fee, reflecting the lower cost of bank payments: ACH payments are discounted to 0.8% of the order total (capped at $5), and wire transfers are discounted to a flat $15. The discounted fee never exceeds the standard 3%. The fee — and any bank payment discount — is itemized on your receipt. Your saved card is charged automatically after the auction closes if your order is under the seller's auto-charge threshold; orders at or above it receive an invoice to pay by bank transfer or wire, and are never charged to a card. Lots you win in the same auction are combined into one order (see Section 3 on when a sale is formed).

3. The Decision Window, Reserves, and Unsold Lots

The seller decision window. When bidding closes on a lot with at least one bid, the lot enters a seller decision window and its page shows “Deciding Winner.” The window's deadline is displayed on the lot page. During the window the seller may accept the high bid — forming the sale immediately — or decline it. If the seller takes no action, the lot sells automatically to the high bidder at the end of the window, unless the lot carried a reserve that was not met (see below). If no sale is formed by the end of the window, the lot closes unsold.

Your bid is binding through the window. By placing a bid, you make an irrevocable offer to purchase at your bid price that remains open through the seller's decision window. If you are the high bidder when bidding closes, the sale is formed — and you become obligated to pay — when the seller accepts your bid or the window ends with the lot selling automatically, whichever occurs first. Bids cannot be withdrawn during the window. If a sale is formed, your saved card is charged automatically after the auction closes when your order is under the seller's auto-charge threshold; orders at or above it receive an invoice to pay by bank transfer or wire. Lots you win in the same auction are combined into one order. Nothing is charged if no sale is formed.

Reserves. Lots may be offered with a reserve set by the seller — a minimum price below which the lot will not sell automatically. Reserve amounts are confidential and will not be disclosed. If a lot closes below its reserve, it does not sell automatically: the seller may accept the high bid during the decision window (forming the sale immediately, exactly as above), and if the seller does not accept, the lot closes unsold and nothing is charged.

How reserves interact with proxy bidding. When you place a maximum bid, our proxy system bids on your behalf in the standard increments. If your maximum is at or above the lot's reserve, the displayed bid will advance to the reserve, and you may become the leading bidder at that price in a single step rather than by increment. If your maximum is below the reserve, your bid is accepted and displayed normally, but the reserve is not met and the lot will not sell automatically. You will never be charged more than your maximum bid.

No house or seller bidding. Neither bidia.ai nor the seller, nor anyone acting on their behalf, bids on the seller's own lots. Bids are never placed to raise the price, to reach the reserve, or for any other purpose. Every bid displayed on a lot is a bid from an independent registered bidder. A lot is never advertised as absolute, no-reserve, or as selling regardless of price when a reserve applies to it.

Whether a lot carried a reserve is not disclosed during the decision window, and the reserve amount itself is never published — before, during, or after the auction. Lots that closed before the decision window took effect remain governed by the prior terms, under which a below-reserve acceptance required the bidder's affirmative confirmation.

4. Intellectual Property

The Service and its original content, features and functionality are and will remain the exclusive property of bidia.ai and its licensors. The Service is protected by copyright, trademark, and other laws of both the United States and foreign countries.

5. Termination

We may terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.

Upon termination, your right to use the Service will immediately cease. If you wish to terminate your account, you may simply discontinue using the Service.

6. Limitation Of Liability

In no event shall bidia.ai, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of or inability to access or use the Service.

7. Governing Law

These Terms shall be governed and construed in accordance with the laws of the United States, without regard to its conflict of law provisions.

8. SMS / Text Message Notifications

If you opt in to SMS notifications (by providing your mobile number and checking the consent box in your profile's notification settings, or when you ask us to text you before a lot closes), bidia.ai will send you recurring automated text messages about your account activity — such as outbid alerts, auction-ending reminders, win confirmations, and order updates. Consent is not a condition of purchase. Message frequency varies; message and data rates may apply. Reply STOP to cancel at any time, or HELP for help. 9. Changes

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material we will try to provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
